Business Terms & Conditions
Contractual terms for separately agreed digital services, websites, app store content, small tools and optional care plans.
Version: 20 October 2026
01Scope and provider
Groopia UG (haftungsbeschränkt), Straße der Jugend 18, 14974 Ludwigsfelde, Germany, email service@groopia.com, provides digital services under the “Groopia Studio” brand (including Bookings, Launch, Digital and optional care services). Groopia Studio is not a separate legal entity. These terms apply exclusively to business customers (entrepreneurs within the meaning of Section 14 of the German Civil Code and comparable entities). The Groopia app and related user/organiser services are governed by separate App Terms. Individually agreed terms and the accepted offer prevail over these standard terms. Customer terms apply only if expressly agreed.
02Enquiries, offers and contract formation
Descriptions and “from” prices on the website are non-binding. Submitting an enquiry or attending an introductory discussion does not create a paid contract. A contract arises only upon acceptance of our specific offer in text form or another expressly agreed mode of formation. The accepted offer defines the deliverables, price, payment schedule, milestones, technical conditions and scope.
03Services and limits
We provide the services agreed in the accepted offer. The Bookings starter package concerns a website that links to or embeds an existing booking/ticketing system; it is not the development of a proprietary payment platform. Launch covers agreed store text and artwork for an existing app, not app development or guaranteed store approval/rankings. Digital covers a limited workflow; accounts, extensive customer portals and particularly sensitive data require separate agreement. The website's package descriptions are indicative; the individual accepted scope is binding. Statutory defect rights remain unaffected.
04Customer cooperation and materials
The customer provides agreed content, access, information, approvals and consolidated feedback in good time and is responsible for having the necessary rights to the supplied text, images, trademarks, data and other materials. We treat credentials confidentially and prefer least-privilege access. Delays caused by missing cooperation are discussed, and a revised timetable is coordinated. Legal review of the customer's website or content (such as privacy notices, imprint, intellectual property) is not part of the service unless expressly commissioned.
05Revision rounds and changes
A revision round is a consolidated set of changes to an agreed draft within the defined scope; it does not cover a new concept, additional features or pages. Out-of-scope changes require a separate price/effort agreement and approval before work. Fixing defects that must be remedied by law does not consume a paid revision round.
06Delivery, review and acceptance
Binding dates are set out in the individual offer. Where the service constitutes a contract for work, we submit the agreed result for examination and acceptance; the customer reviews conformity with the scope and reports specific defects. Statutory acceptance rules, including Section 640 of the German Civil Code, apply. No deemed acceptance is agreed merely upon expiry of a review period without the statutory requirements being met. For services not involving a promised work result, the separately agreed service duties apply.
07Fees, external costs and payment
Fees are as set out in the offer, exclusive of applicable VAT. Third-party costs such as domains, hosting, subscriptions, booking platforms, payment processing, advertising and developer accounts are identified separately or contracted by the customer. Payment schedules and invoicing follow the accepted offer; otherwise statutory due-date rules apply. Additional work requires prior approval. Statutory rights concerning defects and late payment remain unaffected.
08Intellectual property, deliverables and source code
The customer receives the rights to paid, custom-created work expressly agreed in the offer. Where not otherwise specified, following full payment we grant a non-exclusive, perpetual, worldwide right of use for the agreed purpose, including ordinary operation and modifications by the customer or its service providers, to the extent we are legally able to grant such rights. Pre-existing code, templates, tools, open-source components and third-party materials remain subject to their respective licences. Delivery of source code, credentials, documentation and editable files is governed by the accepted scope; agreed deliverables will not be unilaterally withheld. Customer-owned materials remain with their respective owners.
09Optional Web Care, Studio Care and Digital Care
Optional care requires a separate agreement. Under the current starter descriptions, unless the offer states otherwise: Web Care €79 net/month (monthly availability/link check, versioned code backup, up to 30 minutes of small content changes); Studio Care €149 net/month (Web Care and a total of up to 60 minutes of changes, including agreed store graphics, with a work summary); Digital Care €299 net/month (one agreed small web application, monthly functionality/dependency check, a total of up to 120 minutes of maintenance/small changes, versioned code and a status report). Each care plan covers only the agreed website/application. Unused time does not carry over where validly agreed. Extra work requires prior approval and is currently charged at €95 net/hour in commenced 15-minute units. External provider fees are excluded.
10Term, termination and support
The described starter care plans are billed monthly and, where validly agreed, have a one-month minimum term followed by termination on 14 days' notice to the end of a month. Notice may be sent in text form to service@groopia.com. Support is by email; we aim to provide an initial response within three business days (Monday–Friday excluding public holidays at our registered business location). This is not a guaranteed time to fix an issue. 24/7 support, guaranteed uptime and database backups/restoration are included only where expressly agreed. Statutory termination rights remain unaffected.
11Confidentiality, privacy and security
Each party treats the other's non-public business information as confidential. We apply appropriate safeguards to project information. Where we process personal data on a customer's behalf, the parties must clarify their data protection roles before processing and, if required, enter into a data processing agreement under Article 28 GDPR. The customer remains responsible for its own legal notices, consents and lawful processing unless these have explicitly been included in the engagement. Our Privacy Policy describes our own enquiry and business processing.
12Defects and liability
Statutory remedies apply according to the relevant type of contract. Liability is unlimited for wilful misconduct, gross negligence, injury to life, body or health, and in all cases of mandatory statutory liability or expressly assumed guarantees. For slight negligence affecting material contractual obligations, liability is limited to damage that is typically foreseeable when entering the contract; liability for other slight negligence is excluded to the extent permitted by law. Mandatory claims, including under the German Product Liability Act, remain unaffected.
13References and publicity
We do not publish customer names, logos, project screenshots or results as customer references without separate customer permission. Non-public project information is not used for marketing without approval.
14Final provisions
German law applies, excluding the CISG to the extent relevant. For merchants, public-law entities and public-law special funds, Chemnitz may be the agreed forum to the extent permitted by law. Mandatory statutory jurisdiction rules remain unaffected. Changes to the scope should be recorded in text form for clarity; individually negotiated agreements always prevail. If a term is invalid, statutory law applies in its place and the remainder continues unaffected.
